Terms Governing Our Services الشروط التي تحكم خدماتنا

As a client engaging CORTEX, you agree to:كعميل يتعاقد مع CORTEX، فإنك توافق على:

• Provide accurate, complete, and timely information and requirements for your projectتقديم معلومات ومتطلبات دقيقة وكاملة وفي الوقت المناسب لمشروعك
• Respond to questions, review deliverables, and provide feedback within agreed timeframesالرد على الأسئلة ومراجعة التسليمات وتقديم الملاحظات ضمن الأطر الزمنية المتفق عليها
• Grant necessary access to systems, APIs, and third-party services required for project deliveryمنح الوصول الضروري للأنظمة وواجهات API وخدمات الطرف الثالث المطلوبة لتسليم المشروع
• Ensure you have the legal right to provide any data or materials shared with us for processingالتأكد من أن لديك الحق القانوني لتقديم أي بيانات أو مواد تشاركها معنا للمعالجة
• Make payments in accordance with the agreed payment scheduleسداد الدفعات وفقاً للجدول الزمني المتفق عليه للدفع

Delays caused by failure to meet these responsibilities may result in adjusted timelines and, in some cases, additional costs.التأخيرات الناتجة عن عدم الوفاء بهذه المسؤوليات قد تؤدي إلى تعديل الجداول الزمنية، وفي بعض الحالات، تكاليف إضافية.

Payment terms are specified in each project proposal or agreement. By default:يتم تحديد شروط الدفع في كل عرض سعر أو اتفاقية مشروع. بشكل افتراضي:

• A deposit of 50% of the total project cost is required before work begins, unless otherwise agreedمطلوب دفعة مقدمة بنسبة 50% من إجمالي تكلفة المشروع قبل بدء العمل، ما لم يتم الاتفاق على خلاف ذلك
• The remaining balance is due upon project completion or per agreed milestone scheduleالرصيد المتبقي مستحق عند اكتمال المشروع أو وفقاً لجدول المراحل المتفق عليه
• Payments are processed through Upwork, Mostaql, or direct bank transfer as agreedتتم معالجة الدفعات عبر Upwork أو Mostaql أو التحويل البنكي المباشر كما هو متفق عليه
• Invoices are due within 14 days of receipt unless otherwise specifiedالفواتير مستحقة الدفع خلال 14 يوماً من الاستلام ما لم ينص على خلاف ذلك

Late payments may result in work suspension until payment is received. We reserve the right to charge reasonable late fees on overdue amounts.قد تؤدي الدفعات المتأخرة إلى تعليق العمل حتى استلام الدفع. نحتفظ بالحق في فرض رسوم تأخير معقولة على المبالغ المتأخرة.

Upon full payment for a project, all intellectual property rights to the custom code, systems, and deliverables created specifically for you are transferred to you. This includes the source code, documentation, and any associated assets developed as part of the project scope.عند الدفع الكامل للمشروع، يتم تحويل جميع حقوق الملكية الفكرية للكود المخصص والأنظمة والتسليمات التي تم إنشاؤها خصيصاً لك إليك. يشمل ذلك كود المصدر والوثائق وأي أصول مرتبطة تم تطويرها كجزء من نطاق المشروع.

• We retain the right to use the general methodologies, techniques, and non-client-specific know-how developed during the projectنحتفظ بالحق في استخدام المنهجيات العامة والتقنيات والمعرفة غير الخاصة بالعميل التي تم تطويرها أثناء المشروع
• Third-party libraries, frameworks, and tools remain under their respective licensesالمكتبات والأطر والأدوات التابعة لجهات خارجية تبقى تحت تراخيصها الخاصة
• We may list the project in our portfolio unless a non-disclosure agreement specifies otherwiseقد ندرج المشروع في محفظتنا ما لم تنص اتفاقية عدم الإفصاح على خلاف ذلك

Our services are provided on a reasonable-effort basis. To the maximum extent permitted by applicable law:تُقدم خدماتنا على أساس الجهد المعقول. إلى أقصى حد يسمح به القانون المعمول به:

• CORTEX shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunitiesلا تتحمل CORTEX المسؤولية عن أي أضرار غير مباشرة أو عرضية أو خاصة أو تبعية أو عقابية، بما في ذلك على سبيل المثال لا الحصر فقدان الأرباح أو البيانات أو فرص العمل
• Our total liability for any claim arising from a project is limited to the total amount paid by you for that specific projectتقتصر مسؤوليتنا الإجمالية عن أي مطالبة ناشئة عن مشروع على المبلغ الإجمالي الذي دفعته مقابل ذلك المشروع المحدد
• We are not responsible for downtime, data loss, or issues caused by third-party services, APIs, or hosting providers used as part of the projectلسنا مسؤولين عن التوقف أو فقدان البيانات أو المشكلات الناجمة عن خدمات الطرف الثالث أو APIs أو مزودي الاستضافة المستخدمة كجزء من المشروع
• We do not guarantee that the systems we build will be completely error-free or uninterruptedلا نضمن أن الأنظمة التي نبنيها ستكون خالية تماماً من الأخطاء أو متواصلة دون انقطاع

Either party may terminate a project agreement under the following conditions:يجوز لأي من الطرفين إنهاء اتفاقية المشروع في ظل الشروط التالية:

• By mutual agreement at any timeباتفاق متبادل في أي وقت
• By either party with 14 days written notice if the other party breaches a material term and fails to remedy it within the notice periodبواسطة أي من الطرفين مع إشعار خطي قبل 14 يوماً إذا انتهك الطرف الآخر شرطاً جوهرياً وفشل في معالجته خلال فترة الإشعار
• By CORTEX immediately if the client fails to make timely paymentsبواسطة CORTEX فوراً إذا فشل العميل في سداد الدفعات في الوقت المحدد

Upon termination, the client shall pay for all work completed up to the termination date. Any intellectual property for work paid for shall be transferred to the client.عند الإنهاء، يدفع العميل ثمن جميع الأعمال المنجزة حتى تاريخ الإنهاء. يتم تحويل أي ملكية فكرية للأعمال المدفوعة إلى العميل.

These Terms and any project agreements shall be governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia. Any disputes arising from these Terms shall first be attempted to be resolved through amicable negotiation. If negotiation fails, the dispute shall be submitted to the competent courts in Saudi Arabia.تخضع هذه الشروط وأي اتفاقيات مشروع للقوانين السعودية وتُفسر وفقاً لها. يجب أولاً محاولة حل أي نزاعات تنشأ عن هذه الشروط من خلال التفاوض الودي. إذا فشل التفاوض، يُحال النزاع إلى المحاكم المختصة في المملكة العربية السعودية.

We reserve the right to update these Terms at any time. Changes will be posted on this page with an updated effective date. For existing projects, the Terms in effect at the time of agreement shall apply unless both parties agree otherwise.نحتفظ بالحق في تحديث هذه الشروط في أي وقت. سيتم نشر التغييرات في هذه الصفحة مع تاريخ سريان محدث. للمشاريع القائمة، تسري الشروط السارية وقت الاتفاق unless يتفق الطرفان على خلاف ذلك.
